These Terms of Service ("Terms") govern your access to and use of the services provided by Fivex Labs ("we," "us," or "our"). These Terms constitute a legally binding agreement between you (the "Client" or "you") and Fivex Labs.
By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind such entity to these Terms.
Acceptance of Terms
By accessing and using Fivex Labs' website and services, you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you should not use our services.
These terms apply to all visitors, users, clients, and others who access or use our services, whether as a guest or registered user.
Services Overview
Software Development Services
Fivex Labs provides custom software development services including but not limited to web development, mobile app development, cloud infrastructure services, and data management solutions.
Service Scope
The specific scope, deliverables, timeline, and pricing for any project will be outlined in a separate Statement of Work (SOW) or project agreement executed between you and Fivex Labs.
Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of any material changes that affect ongoing projects.
Client Obligations
Information Accuracy
You agree to provide accurate, current, and complete information when engaging our services and to maintain the accuracy of such information.
Timely Cooperation
You agree to provide timely feedback, approvals, content, assets, and any other materials reasonably requested by Fivex Labs to complete the project.
Payment Terms
You agree to pay all fees according to the payment schedule outlined in your project agreement. Late payments may result in project suspension and interest charges.
Compliance
You are responsible for ensuring that your use of our services and any resulting products comply with all applicable laws and regulations in your jurisdiction.
Intellectual Property Rights
Client-Owned Materials
You retain all rights to any content, data, information, or materials you provide to us. You grant us a license to use these materials solely for the purpose of delivering the contracted services.
Work Product Ownership
Upon full payment of all fees, you will own the custom code and deliverables specifically created for your project as outlined in the project agreement.
Fivex Labs IP
Fivex Labs retains all rights to our pre-existing intellectual property, tools, frameworks, libraries, and methodologies. We may reuse general knowledge, skills, and experience gained from projects.
Third-Party Components
Projects may incorporate third-party libraries, frameworks, or tools subject to their respective licenses. You are responsible for complying with such licenses.
Open Source Contributions
Any open source projects we create (such as FivUI) remain our intellectual property and are licensed separately under their respective open source licenses.
Warranties and Disclaimers
Service Warranty
We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. Any warranty claims must be made within 30 days of delivery.
No Guarantees
While we strive for excellence, we do not guarantee that our services will meet all your requirements, be uninterrupted, timely, secure, or error-free, or that results will meet your expectations.
Third-Party Services
We are not responsible for the performance, availability, or functionality of any third-party services, APIs, platforms, or tools integrated into your project.
Disclaimer of Warranties
Except as expressly stated in a project agreement, our services are provided 'as is' and 'as available' without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Liability
Liability Cap
To the maximum extent permitted by law, Fivex Labs' total liability for any claims arising out of or related to our services shall not exceed the total amount paid by you for the specific service giving rise to the claim in the 12 months preceding the claim.
Consequential Damages
In no event shall Fivex Labs be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.
Exceptions
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project. This obligation survives the termination of the service agreement.
We may use your company name and general project description (without disclosing confidential details) in our portfolio and marketing materials unless otherwise agreed in writing.
Termination
Either party may terminate a project agreement with written notice as specified in the project agreement. Termination does not relieve you of the obligation to pay for services rendered up to the termination date.
We reserve the right to suspend or terminate services immediately if you breach these Terms, fail to pay fees, or engage in conduct that we determine to be harmful to our business or other clients.
Indemnification
You agree to indemnify, defend, and hold harmless Fivex Labs, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of our services, your breach of these Terms, or your violation of any law or the rights of a third party.
Dispute Resolution
In the event of any dispute arising out of or relating to these Terms or our services, the parties agree to first attempt to resolve the dispute through good faith negotiations.
If the dispute cannot be resolved through negotiations within 30 days, the parties may pursue other legal remedies available under applicable law.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions.
Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on this page with a new "Last Updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
Entire Agreement
These Terms, together with any project-specific agreements or statements of work, constitute the entire agreement between you and Fivex Labs regarding our services and supersede all prior agreements and understandings, whether written or oral.
